(Nasdaq: UPLD) («Upland»), a leader in cloud-based Enterprise Work Management software, today announced the pricing of an underwritten public offering of 1,860,465 shares of its common stock at a price to the public of $21.50 per share.  The aggregate offering size, before deducting the underwriting discounts and commissions and other offering expenses, is expected to be approximately $40.0 million. The offering is expected to close on or about June 12, 2017, subject to customary closing conditions. In addition, the underwriters have been granted a 30-day option to purchase up to an additional 279,069 shares of its common stock at the public offering price, less the underwriting discounts and commissions.

Needham & Company and William Blair are acting as joint book running managers for the offering. Canaccord Genuity is acting as co-manager for the offering. The offering is subject to market and other conditions, and there can be no assurance that the offering will be completed.
